      Copyright License Agreement

      This Copyright License Agreement (this Agreement) is made effective as of June 16, 2023, between Brooklyn Shurtz Schwartz, of N/A, N/A, Louisiana N/A and Brooklyn Shurtz Schwartz, of N/A, N/A, Louisiana N/A.

      In the Agreement, the party who is granting the right to use the licensed property will be referred to as Brooklyn Shurtz Schwartz, and the party who is receiving the right to use the licensed property will be referred to as Brooklyn Shurtz Schwartz.

      The parties agree as follows:

      GRANT OF LICENSE. Brooklyn Shurtz Schwartz owns LICENSED PROPERTY (BOOK). In accordance with this Agreement, Brooklyn Shurtz Schwartz grants Brooklyn Shurtz Schwartz a non- exclusive license to sell the BOOK. Brooklyn Shurtz Schwartz retains title and ownership of the BOOK. Brooklyn Shurtz Schwartz will own all rights to materials, products or other works (the Work) created by Brooklyn Shurtz Schwartz in connection with this license.

      RIGHTS AND OBLIGATIONS. Brooklyn Shurtz Schwartz shall be solely responsible for providing all funding and technical expertise for the development and marketing of the Work in which the licensed property is used. Brooklyn Shurtz Schwartz shall be the sole owner of the Work and all proprietary rights in and to the Work; except, such ownership shall not include ownership of the copyright in and to the BOOK or any other rights to the BOOK not specifically granted in this Agreement.

      PAYMENT OF ROYALTY. Brooklyn Shurtz Schwartz will pay to Brooklyn Shurtz Schwartz a royalty which shall be calculated as follows: TO BROOKLYN SHURTZ-SCHWARTZ.

      RECORDS. Brooklyn Shurtz Schwartz shall keep accurate records regarding the quantities of the BOOK that are sold. Brooklyn Shurtz Schwartz shall have the right to inspect such records from time to time after providing reasonable notice of such intent to Brooklyn Shurtz Schwartz.

      MODIFICATIONS. Unless the prior written approval of Brooklyn Shurtz Schwartz is obtained, Brooklyn Shurtz Schwartz may not modify or change the BOOK in any manner. Licensee shall not use Licensed property for any purpose that is unlawful or prohibited by these Terms of the Agreement.
